This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Audio Lumina ("Licensor", "Total Chaos") for the use of our software products, including CueForge. By installing or using our software, you agree to be bound by the terms of this EULA.

License Grant

Subject to your compliance with this EULA and payment of applicable fees, Total Chaos grants you a limited, non-exclusive, non-transferable, revocable license to use the software for your internal business or personal purposes, subject to the specific license tier you purchased.

Restrictions

You may not:

• Copy, modify, or create derivative works of the software
• Reverse engineer, decompile, or disassemble the software
• Rent, lease, lend, sell, redistribute, or sublicense the software
• Use the software for any unlawful purpose
• Remove or alter any proprietary notices or labels on the software
• Use the software beyond the licensed seat count or tier scope

Activation and Seats

Your license includes a specific number of activation seats as described at the time of purchase. You may transfer activations between devices by deactivating on the old device before activating on the new one. Concurrent use beyond your licensed seat count is not permitted.

Ownership

Total Chaos retains all right, title, and interest in and to the software, including all intellectual property rights. This EULA does not grant you any ownership rights.

Updates and Support

Major version updates are provided for the duration specified in your license tier. After this period expires, you may continue using the last version you received indefinitely, but new updates will require a maintenance renewal or upgrade purchase. Bug fixes and minor updates may be provided at our discretion.

Disclaimer of Warranty

The software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Live production software operates in complex environments; we strongly recommend thorough testing before any critical show.

Limitation of Liability

In no event shall Total Chaos be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the software, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid for the relevant license in the 12 months preceding the claim.

Termination

This license is effective until terminated. Total Chaos may terminate this license if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the software and destroy all copies.

Governing Law

This EULA shall be governed by the laws of Belgium. Any disputes shall be resolved in the courts of Belgium.
